SpiceJet announced a significant legal victory that paves the way for the airline to reclaim INR 450 Crores from its former promoter, Kalanithi Maran, and his firm, KAL Airways. This decision comes after a ruling by the Division Bench of the Delhi High Court on May 17, 2024, which favored SpiceJet and its current promoter, Ajay Singh, in a protracted share transfer dispute.
Background of the Case - The conflict dates back several years and involves complex legal battles over share transfers between the current and former promoters of SpiceJet. Initially, a single-judge bench had ruled against SpiceJet, leading the airline to pay a total of INR 730 Crores, which included INR 580 Crores as principal and an additional INR 150 Crores as interest to Maran and KAL Airways.
The Appeal and Court's Findings - SpiceJet, led by Ajay Singh, appealed this decision, challenging the previous ruling on several critical issues, including the justification for the awarded refund and the interest payments. The Division Bench of the Delhi High Court found substantial merit in SpiceJet's appeal, noting that the previous judgment had inadequately addressed these concerns.
The court held that the Single Judge had erred in dismissing the Section 34 petitions filed by Ajay Singh and SpiceJet. These petitions highlighted claims of patent illegality and argued against the order of refund issued against SpiceJet, despite acknowledged breaches by KAL Airways and Kalanithi Maran.
Furthermore, the Division Bench highlighted that penal interest had been unjustly imposed on SpiceJet, even though the airline had not breached the Share Purchase Agreement. Consequently, the appeals of Ajay Singh and SpiceJet were upheld, and the judgment dated July 31, 2023, was set aside.
Financial Implications for SpiceJet - With the impugned order now overturned, SpiceJet is positioned to seek a refund of INR 450 Crores from Maran and KAL Airways. This refund is expected to bolster SpiceJet's financial position, providing much-needed relief and resources to further strengthen its operations and market presence.
