Startup Valuation
Startup Valuation is one of the challenging tasks often required by financial. We will discuss how to value startups through some of the more popular valuation methods. In the most general sense, these are new business ventures created by an entrepreneur. Startups usually focus on developing ideas or technologies, and the market valuation is required in the form of a new product or service.

TRAINWORKS
The history of the Liège steel industry goes back further than the birth of Belgium in 1830. In 1817, the Englishman John Cockerill founded his first steelworks in Seraing to produce the steel for his looms. In the following decades, the steel industry develops to its peak, until it takes its first hits in the early 1980s. The majority of the steel activity in Liège and Charleroi is then brought together in Cockerill Sambre. Several blast furnaces, coking plants, coal mines, hot and cold rolling mills, factories for processing blast furnace slag,... dominated the Walloon economy for almost 200 years.
Various mergers and acquisitions attempted to revive the declining steel industry. When the Indian steel giant Mittal came on the scene in 2006 and took over Arcelor to form ArcelorMittal, the end was near. Numerous layoffs and austerity measures followed, much to the dismay of workers and unions. In 2013, after years of social unrest and negotiations, the curtain finally fell on the Liège steel industry. Some companies are still being placed "under cocoon", with the prospect of a potential restart, which unfortunately never comes...
Tumblr media Tumblr media Tumblr media Tumblr media Tumblr media Tumblr media Tumblr media Tumblr media
This site contains the administrative buildings, where the main administration of the steel company was located. The main building still contains a number of beautifully dilapidated offices and archives.
Tumblr media Tumblr media Tumblr media
Apart from the administrative wing, there is also a large part of the site where there is a workshop where the company's trains were maintained and repaired. This part was mostly emptied.

Apologies for the off topic but would you have any tips on writing lawyers who arent just smarmy?
I DO INDEED.
Some negative traits for a lawyer character that aren't "smarmy asshole:"
Being gossipy. I have never, in my entire fucking life, met a lawyer who didn't like drama, and I am including myself in that. I know the exact details of at least three different affairs involving other attorneys in my area, all of which happened years before I started work. In law school I knew which professors had married students (and, in one case, divorced his wife who was also a professor at the same law school to marry a student), who was sleeping with whom, and who'd been kicked out for various infractions. This does extend to our clients, and we definitely will complain about them to other attorneys (within the bounds of not sharing confidential information).
On a similar note, being critical of other attorneys. So-and-so never files motions on time, or doesn't know the rules of evidence well enough to make objections, or can't write their way out of a paper bag.
Being competitive. This is more a thing with litigators, I think, but god does it feel good when you crush your opponent into the dirt. Law is an adversarial system with winners and losers, and it is so fun to be the winner. Even when you like the opponent, there's something innately satisfying when you destroy them with your superior skills.
Not knowing how other people operate. This can take a variety of forms. For some people, it's that "I have no idea if what I'm talking about is common knowledge or something only I know, so I need to explain it in detail" thing. For others, it can be "oh, not everyone thinks attempted murder is funny. Whoopsie." I had a conversation with a fellow attorney where I nodded along politely while he complained to me that representing landlords was no longer profitable for him, all the while thinking, "Does he....... does he not know that I do eviction defense?"
Being know-it-alls. I feel like this goes without saying, but quite a lot of lawyers are very confident in their knowledge and will be assholes about it. However, this doesn't stop them from...
Being perfectly average. The common idea about lawyers is that they're all Harvard-educated geniuses who know everything there is to know about everything. And I am here to tell you that lawyers are just as capable of being dumbasses as anyone else. I am incapable of doing math, and so are a lot of lawyers (the judge in the Alex Jones case kept joking about her inability to do math). When I was in law school editing the students' journal articles, I needed to give a remedial training on how to write essays because some people genuinely didn't fucking know how. And I'm not even getting into the guys who didn't know what sundown towns were.
On the flip side, some positive traits for a lawyer character:
Caring a lot. It is really, really common to burn out on law, either because your subject matter is depressing or your schedule is fucked or your clients just keep being in horrible situations that you can't help them in.
Being fucking nerds. About the law, about other interests like history or science, about fandom shit. I just found out that one of the public defenders here is taking his girlfriend (also a lawyer) to a con this week; he's easily 10+ years older than me and really good at oral arguments. I am mutuals on Tumblr with so many fucking lawyers. And that can include getting excited about weird shit, like me watching the Alex Jones trial the way other people watch sports events.
Having good social skills. Law is a service profession. Even in cases where your client isn't a human person (in-house counsel for a corporation, mergers & acquisitions, criminal prosecution where your client is The State), you are still providing a service and you are going to need to interact with the humans that benefit from that service, even if it's the complaining witness in a criminal case or the CEO of a company you work for. Attorneys with bad social skills – who are obstructionist to their opponents, or abuse their staff, or are bad with clients, or are smarmy assholes – are not liked in the profession, and being liked goes a long way with other attorneys. The number of times I've done things like call another attorney and said something like, "Hey, your client is violating the custody order, can you tell him to knock it off so I don't need to file something about it?" or "Why don't we both knock CPS out of this case and then do the adversarial thing when they're gone?" is... a lot.
In general:
Most lawyers are not making shitloads of money unless they are at very specific firms or doing extremely specific kinds of work. The majority of lawyers are basically middle class. So while the "rich asshole lawyer" stereotype exists for a reason, most lawyers aren't.
We have very strict ethical rules that we need to follow. Now, the ethical rules were implemented because people weren't being ethical on their own, but we do have them. If you want to be a nerd, go look up your local bar's sanctions page.
We specialize in different areas of law. Just like how an eye doctor might vaguely remember stuff about the endocrine system from medical school but probably doesn't know more than that, a criminal lawyer is probably not going to go into, say, wills & trusts. They can, but most people find their niche in an area they like.
There are other kinds of law than just corporate and criminal. Where is my seasons-long TV series about legal aid? Environmental prosecution? TAXES?

MKT 330, Council Bluffs, IA
Katy grain train power lays over at Union Pacific's Council Bluffs service track. When the MKT picked up Rock Island's OKT trackage they went on a used locomotive buying spree which included GP's from ICG, CR, and KCC. MKT330, a GP38AC, and the ex Kennecott Copper GP39-2 (one of 8) were part of that acquisition.
The MKT trackage rights to Council Bluffs were concessions granted to the Katy as part of the UP/MP/WP 1982 merger. With the purchase of the MKT by UP, the Council Bluffs-KC trackage rights were granted to the KCS, who operates over a circuitous BNSF route instead of the UP to reach Council Bluffs. Those rights now have rolled over to CP Rail.

How do *you* feel about the Activision-Microsoft merger?
Tumblr media
Mergers and acquisitions are normal in business. Over the course of my career, I've seen several large industry publishers merge or acquire other publishers, and dozens of independent studios get purchased by publishers.
Sega merged with Sammy Corp. in 2004 to form Sega-Sammy. Later they bought Atlus.
EA merged with Pandemic Studios + Bioware in 2007
Bandai and Namco merged in 2007
Activision merged with Vivendi Universal's games division in 2008 to form Activision-Blizzard
Bungie was purchased by Microsoft in 2000, bought itself out to go independent again in 2007, and was recently acquired by Sony in 2022.
Activision-Blizzard merged with King in 2015
Microsoft acquired ZeniMax in 2020
EA acquired Glu Mobile in 2021
Embracer Group bought Gearbox in 2021
Take Two bought Zynga in 2022
These kinds of behaviors are fairly normal in any major industry. Smaller companies fall on hard times and a larger company offers a rescue. Old leadership grows weary of running the company and someone offers them a big payday. Two like-minded sets of leadership decide that they would work better together.
Tumblr media
In my opinion, the danger comes when too much consolidation happens and, instead of a market with plenty of competition, you end up with a cartel. It's not quite a monopoly with a single controlling company, but it's pretty close - a cartel is a handful of enormous organizations/companies that control the vast majority of the market and collude with each other in order to keep competition down and enrich themselves. In such a situation, they don't have to compete as hard anymore because they can take turns and help each other out. Any rising competition either gets bought or sabotaged by the combined might of the cartel.
Tumblr media
Usually this happens because the cost for entering the market is really high - it's really risky to take that chance to compete with the cartel, which makes the newcomers much more vulnerable to cartel countermeasures. You can see this kind of corporate nonsense at work in many fields here in the US - there are only a handful of telecom companies, internet service providers, meat packing companies, train companies, cloud computing services, and so on. A big sign you're dealing with a cartel is when there aren't many options and none of them are particularly appealing.
Tumblr media
I don't think that's happened in video games yet - we still have large independent publishers like Take Two, Steam, and EA, and we have medium-sized independent publishers like Capcom, Sega-Sammy, Bandai-Namco, Epic, and so on. But if the mega-corps keep buying up the bigger publishers, we'll probably end up in cartel territory and everything will suck.

Grey Queen's Court / It's Bitch Craft Verse
The Queen still doesn't have a 'true title' yet in my mind but it's slowly getting there. Trying to flesh out the court a little bit, so here goes.
The Henchmen / The Hounds - A band of merry trouble making young Dukes of the Grey Queen's Court. Take on a very dedicated canine appearance while in the mortal realm. Rescues from the Winter King's Court. Training under the Knave of Roses' tutelage.
Lord Petrus of the Greenlands / Thomaz Zieliński - A large nobleman that oversees the midsummer meadows later goes on to become the King of the Rose Court. In the human world he oversees the New York City Parks Department.
The Winter King Fergal the Winter Court / Francis 'Frank' Patrick Flannery - The raving lunatic that once held Col's hand in marriage. A true monster she's set out to hunt to the ends of the earth. Lives for pain and destruction of all that is good in the world. In the human realm he deals in all make and manner of crime and corruption, his latest is running a used car dealership in Hoboken NJ.
Lord William O' Good / Billy Goode - Personal assassin and loyal confidant to both the Grey Queen and King but also the Courts of Spring and Summer. A Secret Keeper in the Society of D'Nan along with his cousin Micajah 'Cage' Astwood / Lord Thistlewood of the Summer Court. Knave of Roses. Owns the local record store 'Goode Music'
Mary Colleen Murphy / Macha Danu Lady of the Roses - Daughter of the goddess Danu and the Imbolc Lord Machallan of the Grey Lands she tip toes precariously through the veils and Fae Courts. Balance keeper & karmic enforcer for women / Key Holder to the Rose Garden. Runs the tavern and bed and breakfast in a tiny little hamlet in upstate New York. Was once a force to be reckoned with in the mergers and acquisitions department of the large city firm. That was long ago before Frank ruined her. Now she'd found balance in the quiet.
Helene Marie Starling / Lady Helene of the Spring Blossoms ( Later Queen of the Spring / Green Courts ) - Daughter to king of the Spring court, King Hervé II and Lady Grace of the Autumn Court. Helene brings both balance and calm to both realms and is a steadfast confidant and best friend to Colleen. Without her vast knowledge of botany and herbology as well as her compassionate nature the world ( and Colleen) would be lost. Brings beauty to the unexpected. Guardian of children and small woodland creatures. In the mortal realm she takes the guise of a small town florist and specialist botany professor at large for the Swanmoore School as well as Chestervale College.
Elizabeth D'Ardenville / Lady Elizabeth of the Summer Court ( Later Queen of the Fae Fire Court ) - Steadfast warrior to her people and equally solid friend to Colleen. She is the spark of imagination in a child's eyes, the burning desire to succeed and the confidence to see it through. Without her mankind would grind to a halt and slowly extinguish itself. Guardian of the Hearth and home. In the mortal realm she exudes confidence and unarmed power; teaches yoga and self defense at the local civic center in weekends. Her day job? blown glass artist who oversees the Artisan Collective Board at Swanmoore School of the Arts as well as instructs the master class

Total words: including all the collabs 292,227 which feels crazy considering I keep beating myself up for writing too slowly.
UNPOSTED WIPS
Nothing. I have posted at least one chapter of everything I’ve started this year.
TOTAL # OF COMPLETED WORKS/FANDOMS WRITTEN IN
21 completed works written for the The Rings of Power fandom
OVERALL THOUGHTS
That I’ve done a lot more than I thought I had, although finishing one fic before starting another does seem to be an issue 😂
PERSONAL FAVORITE?
The Decurion’s Wife is the one I’m most proud of, mainly because of the amount of background research I’ve done. It’s also the story that I feel shows me evolving a little as a writer.
MOST UNDERAPPRECIATED
I think Dark is the Way. Light is A Place, which might have worked better in my head than on paper. I do still plan on finishing it though, so maybe when it’s all together it'll make more sense.
MOST POPULAR
The Most Wonderful Time of the Year (although again, most of this was posted in 2022)
STORY WITH THE SEXIEST MOMENT
I’m going to say the birthday sex scene in Good Girl
MOST FUN STORY TO WRITE?
Without a doubt You Can’t Take The Sky From Me!
HARDEST?
Other than a couple of the ‘quick and dirty’ one shots, all of the multi-chapters have had their difficult moments. I don’t generally have a lot of time to write every day and this means that I can leave things for too long and then lose my train of thought when I come back to them.
BIGGEST SURPRISE?
Just how much I’ve written 😊
DID YOU TAKE ANY RISKS IN WRITING THIS YEAR?
I don’t think so, although maybe tiptoeing into my first M/M scene in Three Is A Charm counts?
MOST UNINTENTIONALLY TELLING STORY?
There’s some stuff with Nossë-Verse Galadriel that was a little therapeutic to write, but just here and there.
FAVORITE LINES/SCENES?
My short term memory is terrible - blame my upbringing - so I’m going to leave this blank.
MY FAVE PART OF FANDOM IN 2023
Just feeling like I’m a part of a fandom and getting to talk to and support such wonderful, talented people :)
2024 WRITING AMBITIONS
Working on my confidence. I worry so much that I’m going to be rejected/ignored for not being good enough, annoying everyone with the amount of stuff I do or don’t put out etc. Also, I’d like to try and write every day, even if it’s just 100 words and work on getting some of my WIPs finished!
2024 FICS ON THE IMMEDIATE HORIZON
Decurion’s Wife Chapter 7 - which should be finished by the end of this week
Emma/Regency AU
Three Is A Charm Chapter 2 (perhaps with a Celeborn POV)
Thank you so much to @liminal-zone for the format and to everyone who has supported my writing endeavours this past year :)

An ASEUM and an EUASM at Moran - 4 of 4
flickr
An ASEUM and an EUASM at Moran - 4 of 4 por Greg Brown Por Flickr: Once the dispatcher confers Direct Traffic Control authority to proceed, the EUASM accelerates eastward. I always found it odd to catch locomotives painted in the SPSF merger scheme on the Modoc. Had the SP/Santa Fe merger actually gone down, the Modoc would have been surplus. Absent acquisition by another railroad (Rio Grande?), the Modoc Line would have been abandoned. As it turned out, the SP/Rio Grande hookup only postponed the inevitable. After SP was acquired by Union Pacific in 1996, the Modoc was closed as a through route less than a year later. This trackage at Moran was removed in 2003. Most eastbound Modoc Line traffic originated in Oregon. The vast majority of that traffic was lumber off the Siskiyou Line. Because of that, Modoc trains usually had nice strings of uniform height Plate C boxcars, like this train.

And the other way to look at this, really, is not about AI at all, but seeing this as the continuation of a gradual corporate incursion into the early spirit of sharing that characterised the internet. I say incursion but maybe the better word is enclosure, as in enclosure of the commons. And this positions AI as just a new method by which companies try to extract value from the things people share freely, and capture that value for themselves. And maybe the way back from this is being more intentional about building our communities in ways where the communities own them. GameFAQs was created to collate some useful stuff together for a community, and it ended up as part of a complicated chain of corporate mergers and acquisitions. But other communities experienced the kinds of upheaval that came with that, and then decided to create their own sites which can endure outside of that - I’m thinking here especially of Archive of Our Own, the biggest repository for fan-writing online. And incidentally, the source of 8.2 million words in that AI training set, larger even than Reddit.
The Washington Post published an article - GATED, which is exactly what "How to Find Things Online" talks about - that allows you to search Google's C4 training dataset, and this is what turns up for Ao3. 8.2 million words!!!!! No wonder the African content moderators are striking for better pay to remove all the porn from the chatGPT results!!!!!
Anyway. This is a very good accessible article about our upcoming... what? Retreat to unsearchable private communities that lock newcomers out so that people can talk to other people, not robots? Increasingly paywalled and corporatized commons? Future that looks like The Matrix, culture permanently frozen at "the peak of your civilization" as all the future training sets keep regurgitating the same info that millions of people put online, for free, from 1990 - 2020?
Here's AO3's recent post on their AI policies BTW, where they explain that they already removed the website from the Common Crawl in 2020 and recommend, for now, setting your new works to archive-only if you don't want them used to train commercial AI without your consent.:
https://archiveofourown.org/admin_posts/25888?fbclid=IwAR0GgjG4nOWZh7WuwNT4bPCEnLd-sX1j9PxYNx7fQoC5OGQST24SOr5b1lw
Archive-locking as the only real solution makes sense, but also, is again exactly what this article talks about in terms of the incentives moving from putting things online for free where anyone can access them, to putting them behind a gate of some kind to keep the community a nice place **for** the community that built it.
Anyway. May AO3 live a long, long time. Not just because it's the most popular website in the WORLD in category: "books and publishing" but because it's being increasingly recognized as a gold-star example of a community seeing where the corporatization trend is going, and getting out ahead of it to make a community space for humans to share their work with other humans, for free.

Silly Headcanons: The NWR Numbering System
If the NWR supposedly has like 80 engines why does its numbering system only go up to 11 steam engines, and like 3 diesels, by the late sixties? They've had enough traffic that the engines we see can't have been enough, and surely it wasn't all loaners / on trial engines / LMS visitors, right?
So, silly idea: the reason for this is that the NWR's numbering system, for steam engines at least, is a clusterfuck. It was developed as it formed from the merger of three precursor railways: the Sodor and Mainland Railway, the Wellsworth and Suddery Railway, and the Tidmouth, Knapford, and Elsbridge Light Railway. These railways all had their own motive power depots (well, the W&S and the TK&E did anyway, since the S&M was dead by then), and to keep the renumbering of engines being too confusing, the newborn NWR decided to allocate numbers to its engines with the first digit depending on the region, or subdivision, or whatever, that each engine was assigned to at the time of acquisition.
Numbers 1-99: Originally to be used for the NWR's own acquisitions, based at the new Vicarstown Motive Power Depot. After the primary depot was moved to Tidmouth in 1925 this series was subsequently used for the Tidmouth Motive Power Depot. The Knapford, Ffarquhar, and Arlesburgh sheds also use these numbers, because they're considered subsidiary to the Tidmouth depot (and by the time engines other than the Coffeepots were based there it was clear that there was no danger of running out of 1-99 numbers).
Numbers 101-199: Tidmouth Sheds pre-1925, i.e. Former TK&E engines. Not used post-1925... so basically just the coffeepots, since the only other engines based in and around Tidmouth prior to this were privately owned dockside shunters. The only surviving engines with these numbers are Coffeepots 2 and 3 (NWR 102 and 103). However, the surviving coffeepots were retired from NWR service in the 1950s and are preserved by the Wellsworth Railway Museum.
Numbers 201-299: Wellsworth Sheds. Any surviving ex-Wellsworth And Suddery engines would use these numbers, as would any engines who were purchased by the NWR and immediately assigned to the Brendam Branch. Following the tradition set by electric engines on the Peel Godred Branch, diesels on the NWR do not use the clusterfuck legacy numbering system, so Boco joined as D2 instead of D201.
Numbers 301-399: Killdane Motive Power Depot. I.e. the Peel Godred Branch, in theory. In reality this branch is run primarily by electric engines (which were numbered E1, E2, and so forth as they only have one branch they run of), but during its construction and first few years of operation there were steam engines on the line. Most were leased or sold to private owners, so there's maybe 1 or 2 surviving Killdane engines that were actually purchased and moved somewhere else.
Numbers 401-499: Crovan's Gate Motive Power Depot (1927-1937, Vicarstown Motive Power Depot (1937-Present). After the original 1925 agreement with the LMS the Vicarstown sheds were closed in 1927. Services from eastern Sodor included a mixture of trains coming from Barrow (either LMS trains under running rights, or NWR mainline trains returning from Barrow), and from Crovan's Gate, with Crovan's Gate Sheds serving as the NWR's base for its services on the Kirk Ronan and Norramby Branches. As the railway grew, Crovan's Gate's role as the NWR's primary repair shops grew and subsumed its role as a depot.
Meanwhile in the 1930s, with the growing size of the NWR, and the LMS becoming disgruntled that the NWR had pushed for independence but never seemed to have its own engines to run necessary trains, new sheds were constructed in Vicarstown. At first this was only home to loaner engines and ones moved from Crovan's Gate after its engine sheds were closed and incorporated into an expansion of the Works there, but with even heavier demands being placed on the railway during WWII, the NWR began to purchase engines of its own. Because in the late 30s onward the railway started to actually have money to purchase engines. In the like 35 years between Percy and Oliver, the NWR didn't only manage to buy five steam engines. It's just that the five we read about are the ones that were sent directly to Tidmouth. There were other acquisitions in those years - mainly between 1940-1960, because 1940's around when the NWR started actually having money to buy engines, and 1960's around when, uhh... things got tense between TFC2 and BR upper management, brought to a head with the "complicated transaction" of Douglas's acquisition. tl;dr management were not happy that they could not legally force Sir Charles to stop ignoring the Modernization Plan, nor could they actually ban him from buying more steam engines, but they could refuse to transfer any of theirs, and they at least tried to bully scrapyards into not selling him any. This policy lasted until around when the Mainline Steam Ban was lifted.
In total, out of the 80-ish engines the NWR had in the early 1990s (per Island of Sodor), I'd estimate maybe fifteen are electric locomotives and railcars on the Peel Godred branch, another dozen are diesels (more diesels acquired shortly after the publication of IOS as Privatization happened), maybe six or seven have either 2XX (probably not originally W&S engines) or 3XX numbers, around fifteen are Tidmouth Depot steam engines, and the remaining thirty have 4XX or 5XX numbers.

What the country wants of our government...
As we listen to the Democrats and the Republican Legislators, we hear promises made. However, empty promises is what we get. We the People want more done, as they our constitutionally bound to do.
Here is a partial list of things we wish to see accomplished in the next few years.
1.) The Democratic Party and it's legislators held accountable for their voting, passing, and decisions to undermine this great nation. They from the Congress members to the Senate members, and to the White House. Have been systematically been destroying the lively hoods of millions upon millions of Americans with their legislations made into law.
The over reach of the FBI, CIA, NSA, IRS, EPA, FDA, CDC the Branches of our Armed Forces at the Pentagon along with the DOJ are out of control. The America First Policies must be reinstated to do what is best, and right for Americans who's needs must come first.
2.) Stop sending billions upon billions of Tax Payers dollars to other countries. Those dollars need to stay here to rebuild our infostructure, our schools, hospitals, and social NPO's. So that our children and the American people have a chance at a better life.
3.) Increase penalties for local, county, and states that under mine the prosperity of all ethnic groups within our boarders. Also finish the wall on our Southern Boarder and take a long hard look at the growing problem of those crossing our Northern Boarders more closely. As we have been seeing an up tick of illegal crossings there as well.
4.) Reinstate funding, equipment, and training for ALL police agencies in our Government Agencies as well as our States, and Local Municipalities for a safer America. For they are on the front lines. Also, to the Governors, reign in those prosecutors within your states that are not prosecuting the criminals. Also, liberal judiciary's should be closely monitored in their judgements on a case by case scenarios. The victims of crime should have the ultimate right to see justice done on their behalf.
5.) The Teachers Union must be over hauled, dismantled and reorganized along with other major Unions, and Corporations that are pushing CRT and the Woke Agenda. This undermines the well being of our peoples and our nation. Progressive and Social awareness are needed but not at the force and misleading's of the few and the Main Stream Media. Journalistic standards along with Social Media Companies need to be held accountable for their lack of fair and balanced policies that effect every American and even the World.
6.) Bring inflation down quickly, and impose a greater emphasis on the fiscal responsibilities at the Local, State and Federal levels of Government. What is fair for the average family and persons paying the taxes deserve better from all the agencies.
7.) Start up drilling and replenishing our National Reserve of Oil, and Gas for the betterment and national security of our great nation. This will bring fuel prices down across the board so that Americans can afford to go to and from work as well as take better care of their families and personal needs. On the matter of Infrastructure make better our mass transit systems. From Buses, Bus lines, Airports, Airlines, and Rail. Mergers need to be more closely scrutinized through the proposal and acquisition process.
8.) Finally, I bring up the first and second amendments which are every Americans Constitutional Right. Free speech, and the right to bear arms are undeniable. Which is good for all legal citizens 18yrs, and older Americans. I'll leave it up to the readers of this blog to make statements and suggestions that will add to the betterment of an America First agenda.

In May 1972, The UK Government owned travel firm, Thomas Cook & Son, was privatised, sold to a consortium of businesses headed by the Midland Bank. It was reported that the purchase price was 22.5m pounds, ‘far higher than expected’ according to the BBC, owing to falling profits amid a depressed travel industry. Thomas Cook management ‘welcomed’ the sale, while unions opposed.
Thomas Cook had been nationalised in 1948, as part of the Attlee Labour government’s reform package which included taking many major companies and industries into government ownership.
According to BBC reporting in 1972;
“…Thomas Cook is widely credited with starting the foreign travel revolution. It was founded in 1841 by the Baptist cabinet maker and strict teetotaller whose name it bears. His idea for a new company began when he arranged a train excursion for temperance campaigners from Leicester to Loughborough…In the early 1950s, when only one in 100 Britons had ever been abroad, the company showed information films in town halls encouraging holidaymakers to try exotic places like Spain, Italy and Switzerland…”
Thomas Cook’s initial failure to embrace affordable package holidays meant that they fell behind their competitors, along with ‘old-fashioned civil service methods and an archaic accounting system’. Privatisation was no magic bullet, however, and by 1975 Thomas Cook reported the biggest annual loss (to that point) in the company’s history.
The company later went through a succession of corporate ownership changes, mergers and acquisitions, and finally collapsed in 2019, unable to secure 200 million pounds of contingency funding, and with debts of 1.7 billion pounds.

Due diligence is a process of verification, investigation, or audit of a potential deal or investment opportunity to confirm all relevant facts and financial information, and to verify anything else that was brought up during an M&A deal or investment process. Due diligence is completed before a deal closes to provide the buyer with an assurance of what they’re getting. Mergers and acquisitions typically involve a significant amount of due diligence by the buyer. Before committing to the transaction, the buyer will want to ensure that it knows what it is buying, what obligations it is assuming, the nature and extent of the seller’s contingent liabilities, problematic contracts, litigation risks, intellectual property issues, and much more. This is particularly true in private company acquisitions, in which the seller has not been subject to the scrutiny of the public markets.

SWIGGY KARO, PHIR JO CHAHE KARO!
Tumblr media
Mergers and acquisitions (M&A) is a general term that refers to the consolidation of companies or assets through various types of financial transactions. M&A can include a number of different transactions, such as mergers, acquisitions, consolidations, tender offers, purchase of assets and management acquisitions. In all cases, two companies are involved.
Swiggy
Swiggy is a food ordering and delivery company based out of Bangalore, India. Swiggy was inspired by the thought of providing a complete food ordering and delivery solution from the best neighbourhood restaurants to the urban foodie. A single window for ordering from a wide range of restaurants, it has its own exclusive fleet of delivery personnel to pickup orders from restaurants and deliver it to customers . Having their own fleet gives them the flexibility to offer customers a no minimum order policy on any restaurant and accept online payments for all partner restaurants that they work with. Their delivery personnel carry one order at a time which ensures they get reliable and fast deliveries.
Dabbawalas
The dabbawalas constitute a lunchbox delivery and return system that delivers hot lunches from homes and restaurants to people at work in India, especially in Mumbai. The lunchboxes are picked up in the late morning, delivered predominantly using bicycles and railway trains, and returned empty in the afternoon. They are also used by meal suppliers in Mumbai, who pay them to ferry lunchboxes with ready-cooked meals from central kitchens to customers and back.
CASE IN HAND
Swiggy and Dabbawalas are planning to merge and as a part of the M&A contract, Dabbawalas are required to automate their operations. With the age old experience of Dabbawalas and Swiggy’s new approach towards food delivery, the merged company will be able to capture the maximum market share.
But, as optimistic as it may seem like, there are a lot of challenges that lie in front of both these parties in order to make this merger a success. Some of the major challenges are:
Interpersonal communication challenges
Marketing Challenges, due to difference in operational approach
Employee retention challenges
Cultural challenges
Automation challenges for Dabbawalas
TASK AT HAND
You have been appointed as a Third-Party Administrator to make this merger a success, you are supposed to come up with a detailed plan for the same. The top management of both the companies have asked you to: -
Prepare a detailed Phase-Wise Implementation Plan to smoothly integrate the operations of both the companies.
Prepare Marketing Strategies to promote and increase the visibility of this new venture.
Create new training and development strategies for the employees.
Create a detailed plan to automate the operations of Dabbawalas.
Come-up with new compensation structures for the employees of the merged organization.
Break Even Analysis and ROI
DELIVERABLES
A report of not more than 15 pages.
A PowerPoint Presentation of not more than 12 slides.
