NEW YORK (Reuters) – U.S. investment firm Tiger Global Management is in the process of buying $50 million worth of shares of online asset management startup Wealthfront, a source familiar with deal said on Friday.
Tiger Global is acquiring the stock on the secondary market mostly from former Wealthfront employees, the source said.
The deal comes a few months after Tiger Global led a $75 million investment into Wealthfront, one of the largest independent companies known as robo-advisers.
Bloomberg reported earlier on Friday that Wealthfront’s valuation was cut to $500 million through the round announced in January. The source who spoke to Reuters disputed the valuation but could not provide the actual figure.
It is unclear how the latest $50 million deal by Tiger Global affects Wealthfront’s valuation.
Representatives for Tiger Global did not immediately respond to requests for comment.
Wealthfront and other robo-advisers automatically create and manage portfolios made up of low-cost exchange-traded-funds for clients with as little as a few hundred dollars to invest.
They are part of a wave of young companies that take advantage of new digital technologies to offer financial services for clients that were traditionally seen as too expensive to service by established financial institutions and target a new generation of investors.
Wealthfront’s assets under management have nearly doubled over the past year to more than $10 billion.
The model pioneered by Wealthfront and its competitors has prompted established financial institutions to launch similar services over the past few years, including Fidelity Investments Charles Schwab Corp and Fidelity Investments. This has led some to question whether the startups can secure enough clients to succeed.
This has prompted startups to diversify their offering with added tools and features.

One woman flying United from Washington, D.C. to Austin, Texas was shocked when the carrier offered her a $10,000 travel credit to give up her seat on an oversold flight.
Shortly after 8 a.m. on Thursday, Allison Preiss took to Twitter to express her frustration with United as she flew from Dulles International Airport to a bachelorette weekend in the Lone Star state.
“@united offering $1K in travel credit for an oversold flight. If nobody bites, they will kick off the lowest fare passenger by pulling them out of the boarding line,” wrote Preiss, who is communications director at Washington D.C.-based Center for American Progress. “For a flight that THEY oversold. Unreal.”

In a series of subsequent posts, Preiss detailed that United removed her from the flight and wouldn’t let her board again as her intended seat was broken.
“I AM THE LOWEST FARE PASSENGER.”
“They are kicking me off this flight.”
“They can’t board me on this plane because there is a broken seat.”
Describing the carrier as “the worst,” Preiss further divulged that United then “tried to get me to sign a document that says I volunteered my seat on this plane when I was involuntarily denied boarding,” which she dubbed “Sketchy af.”
“On the upside, I wasn’t physically dragged off the plane and my dog wasn’t killed on board, so I’ve got that going for me…which is nice,” she mused, referencing the infamous scandal in which Dr. David Dao was dragged off an April 2017 flight and the March death of a dog who passed away in the high skies when he was wrongfully placed in an overhead bin for the duration of the flight.
“They really do not want to give me cash. They just offered me $10,000 in travel credit. TEN THOUSAND,” Preiss wrote, sharing a photo of the waiver.

She said that while the airline denied her lounge access for her troubles, they did give her vouchers for two meals at Pizza Hut.
Though it is not clear at this time how the rest of Preiss’ journey transpired, she did make it known that she did not eat any of the fast-food pizza.
Preiss she did not immediately return Fox New’s request for comment.

“We issued this voucher per our policy,” a media relations spokesperson said.
Though airline drama continues to make headlines across nearly all major carriers, Americans apparently can’t get enough of it.
On March 22, the U.S. Transportation Department reported that in 2017 airlines carried 3.4 percent more passengers on U.S. domestic and international flights, with an all-time high of 965 million passengers.

March 23 (Reuters) - U.S. energy companies added oil rigs for a second week in a row as crude prices hover near three year highs, prompting drillers to boost spending plans for this year. Drillers added four oil rigs in the week to March 23, bringing the total count to 804, the highest level since March 2015, General Electric Co's Baker Hughes energy services firm said in its closely followed report on Friday. RIG-OL-USA-BHI The U.S. rig count, an early indicator of future output, is much higher than a year ago when 652 rigs were active as energy companies have continued to boost spending since mid-2016 when crude prices began recovering from a two-year crash. U.S. crude futures traded around $65 a barrel this week, approaching the three-year high of $66.66 hit in late January. That was still much higher than the $50.85 average hit in 2017 and $43.47 in 2016. Looking ahead, futures were trading around $64 for the balance of 2018 and $59 for calendar 2019 . In anticipation of higher prices in 2018 than 2017, U.S. financial services firm Cowen & Co said 58 of the roughly 65 exploration and production (E&P) companies they track have already provided capital expenditure guidance indicating an 11 percent increase in planned spending over 2017. Cowen said those E&Ps that have reported capital plans for 2018 expected to spend a total of $80.5 billion in 2018, up from an estimated $72.4 billion in 2017. Analysts at Simmons & Co, energy specialists at U.S. investment bank Piper Jaffray, this week forecast the total oil and natural gas rig count would average 1,015 in 2018 and 1,128 in 2019, the same as its projection last week. So far this year, the total number of oil and natural gas rigs active in the United States has averaged 964. That compares with an average of 876 rigs operating in 2017, 509 in 2016 and 978 in 2015. Most rigs produce both oil and gas. For the year, EIA projected in March that total U.S. production will rise to a record high 10.7 million bpd in 2018 and 11.3 million bpd in 2019, up from 9.3 million bpd in 2017. DORTMUND, Germany — Usain Bolt has completed a two-day trial spell with Borussia Dortmund, with the sprint legend scoring once in an open training session in front of more than 1,000 fans.
Bolt, an eight-time Olympic gold medallist and world-record holder in the 100 metres, trained behind closed doors on Thursday, and United States international Christian Pulisic told ESPN FC he had been delighted to work with the 31-year-old.
Speaking to reporters after the open training session in front of 1,409 fans and many members of the media — in which he headed home a Mario Gotze cross with his first touch — he said: “I’d give myself a seven out of 10.
“It was good. I had fun with the guys — they were very welcoming. I would like to continue training with the team.”
Admitting that he was not in his best shape, Bolt ruled out going to a lower-level club, saying: “I want to play in a top league.”
Dortmund had promised that they would give him “a realistic assessment” of his chances of playing professionally, and coach Peter Stoger said after the session: “If he wants to make at the highest level, he still has a lot of work to do.
“At his age, there is not that much room for development.”
Stoger praised Bolt as “a relaxed, and down-to-earth guy” and said: “He really wanted to get to know the team. He understands football, and he showed some good elements.”

Some criticised Bolt training at Dortmund as a marketing stunt by Puma, who are club shareholders and kit suppliers as well as the sprinter’s sponsor, but BVB sales and marketing executive Carsten Cramer told ESPN FC Dortmund were “proud” he had chosen to train with them.

Liquidation Order Issued for Auto Insurer with More Than 42K Policies in Pennsylvania
A Texas court has issued an order of liquidation for Access Insurance Company, an auto insurer that has 42,785 policies in Pennsylvania. This means Pennsylvanians that currently have auto insurance through Access Insurance will have no later than April 12 to seek new coverage.
The liquidation order was signed after the Texas Insurance Department determined Access Insurance to be insolvent.
Access Insurance is primarily a provider of non-standard auto insurance and is licensed in 22 states. In its order of impairment dated March 14, 2018, the Texas Department of Insurance said Access Insurance is an impaired insurer and that the company’s liabilities are greater than its assets, as previously reported by Insurance Journal.
In light of this news, Pennsylvania Insurance Commissioner Jessica Altman assured Pennsylvanians who currently have auto insurance with Access Insurance that they continue to have coverage and can legally drive. However, they need to find new insurance with a different company within 30 days from the date the liquidation order was signed on March 13, or when their current Access Insurance policy expires, whichever is sooner. Indeed, all Access Insurance policies will terminate at 11:59 p.m. on April 12.
Pennsylvania drivers who currently have coverage through Access Insurance should file any arising claims with the company until their current policy expires, or until April 12, Altman said in a press release issued by the Pennsylvania Insurance Department. Claims filed during this period will be paid through the Pennsylvania Property and Casualty Insurance Guaranty Association. Policy renewals ended March 13.
“Pre-paid premiums will be refunded to policyholders as soon as practical,” Altman said in the release. “Policyholders do not need to take any action to receive refunds.”
Pennsylvania isn’t the only state alerting consumers of the Access Insurance liquidation order’s impact. South Carolina Department of Insurance Director Ray Farmer also said in an announcement released by his office that Access Insurance had around 15,500 South Carolina private passenger automobile insurance policies in force, and the South Carolina Property and Casualty Insurance Guaranty Association will work to cover valid claims filed by insureds in his state.
The order of liquidation comes following news in early March that California Insurance Commissioner Dave Jones ordered Access Insurance to immediately stop transacting and soliciting insurance business in the state, Insurance Journal previously reported.
The California Department of Insurance said the action followed Access’s Statutory Income Statement 2017 Preliminary (unaudited), which showed its policyholder surplus was negative $27.6 million as of Dec. 31, 2017. The insurer’s Statutory Income statement 2018 Preliminary (unaudited) report noted its policyholder surplus was negative $29 million as of Jan. 31, 2018. It had also failed to file its required yearly statutory statement.
In a separate, July 2017 order, California alleged Access and some of its affiliates had engaged in improper claims handling and improper rating and underwriting practices in violation of the California Insurance Code and the Fair Claims Settlement Regulations. Those actions are still pending.

Will newly appointed National Security Adviser John Bolton help feed Donald Trump’s foreign policy instincts? Let’s hope so.
The established narrative from the president’s critics has been that President Trump lacks the knowledge, experience and temperament to successfully manage America’s national security affairs. By this reasoning he had to be surrounded by an “axis of adults” to restrain his impulsiveness, lest the U.S. blunder into global conflict based on a stray Tweet or sudden tantrum.
When Lieutenant General H.R. McMaster was appointed National Security Adviser in 2017, a New York Times column praised him as a “stabilizing force” to balance out “the hot heads who occupy Mr. Trump’s inner circle.”
With McMaster’s departure, the Times says, “if President Trump wanted a national security adviser who would match his blunt, hard-edge, confrontational approach to the world, then Mr. Bolton fits the bill.” The recent leadership switch at the State Department from moderate Rex Tillerson to more hawkish CIA Director Mike Pompeo was also framed as a potentially destabilizing move towards enabling Trump to be Trump.
But the Trump administration’s foreign policy has been successful because of the president, not despite him. His “blunt, hard edge” style is better suited for the dangerous world we live in than the cool detachment of Obama-era “leading from behind.” And if President Trump has disrupted the old way of doing things, it is only because the status quo was failing. He is winning in ways the old model would never have predicted.

When the president made good on his campaign promise to recognize Jerusalem as the capital of Israel and move the U.S. Embassy there from Tel Aviv — a move Bolton had long recommended — establishment foreign policy circles were stunned. It was called a disastrous blunder that would undo decades of effort towards the Mideast peace process, fuel Palestinian rage, and alienate Arab leaders.
Yet, the expected uprising never materialized, and a few months later the White House hosted the first ever publicly announced meeting between Israeli national security officials and counterparts from Saudi Arabia, Qatar, Bahrain, Oman and the United Arab Emirates, among other countries, discussing the growing humanitarian crisis in the Gaza Strip.
The diplomatic implications of Arab countries that don’t recognize Israel attending that meeting are striking. The get-together was brokered by Mideast peace envoy and presidential son-in-law Jared Kushner, once dismissed as a diplomatic neophyte, but now seen as the key to bringing Saudi Arabia on board the peace process through his close relationship with Crown Prince Mohammed bin Salman.
Elsewhere in the Middle East, President Trump’s bold approach to combating the Islamic State — which Bolton also supported — virtually destroyed their self-proclaimed Caliphate over the course of a single year. We knew his strategy was particularly successful when the president’s critics and former White House administration officials rushed to claim that it was the Obama team’s plan all along.
But if it was their plan, why did President Obama fail with it and Trump succeed? The question answers itself. On the nuclear agreement with Iran, which Trump has called “the worst ever,” the president’s new team members will be in place in time to formulate a strategy for the required waiver review in May, which may spell the deal’s doom.

With respect to North Korea, critics feared that President Trump’s tough, almost contemptuous exchanges with “Rocket Man” Kim Jong Un, and veiled threats of preemptive military strikes might lead to devastating conflict. John Bolton and Mike Pompeo have taken similarly hawkish stances on dealing with Pyongyang. Yet instead of going to war, Kim reached out to the president, saying he is “committed to denuclearization.”
The two will meet in May, another diplomatic first. President Trump praised China’s President Xi Jinping for helping bring North Korea to the table, while simultaneously slapping Beijing with tariffs seeking to reduce China’s trade surplus with the U.S.
Previous presidents kept the China trade and North Korean issues separated, but trade is Washington’s primary point of leverage in the Sino-American relationship. If the president can get a better trade deal for American workers while also encouraging Beijing to make Pyongyang see reason and abandon its nuclear weapons, he could be in the running for a Nobel Peace Prize. And Bolton and Pompeo are likely to help him get there.

The United States has imposed sanctions on an Iranian company and 10 individuals for alleged cyber attacks, including on hundreds of universities.
The Mabna Institute is accused of stealing 31 terabytes of “valuable intellectual property and data”.
The justice department said the firm hacked 320 universities around the world, dozens of companies and parts of the US government.
Nine of the 10 individuals have been indicted separately for related crimes.
The two founders of the Mabna Institute are among those sanctioned and their assets are subject to US seizure, a statement by the US Treasury Department said.
“These defendants are now fugitives of justice,” US Deputy Attorney General Rod Rosenstein said at a news conference. Reuters reported he warned that the individuals may face extradition in more than 100 countries if they travel outside of Iran.
The Mabna Institute was established in 2013, and US prosecutors believe it was designed to help Iranian research organisations steal information.
It is accused of carrying out cyber attacks on 144 US universities, and 176 universities in 21 foreign countries, including the UK, Germany, Canada, Israel and Japan.
By targeting the email accounts of more than 100,000 professors worldwide, the hackers compromised about 8,000 of them, according to the justice department.
US authorities described the global conspiracy as one of the largest state-sponsored hacking sprees to be prosecuted.

“The Department of Justice will aggressively investigate and prosecute hostile actors who attempt to profit from America’s ideas by infiltrating our computer systems and stealing intellectual property,” Mr Rosenstein said, according to news agency AFP.
Many of these “intrusions”, Mr Rosenstein said, were done “at the behest of the Iranian government and, specifically, the Iranian Revolutionary Guard Corps”.
The hackers also targeted the US Department of Labor, Federal Energy Regulatory Commission and the United Nations, according to prosecutors.

Gun Deals, Beer Trade and Cigar Market are three of the latest communities to be banned by Reddit in a move to distance the social website from transactions of “illicit or strictly controlled” goods.
Drugs, personal information and “paid services involving physical sexual contact” are also on the list of banned transactions announced on Thursday.
A Reddit spokesperson said “users who attempt to conduct [these transactions] will be banned from the site”, but declined to answer all of the BBC’s questions about the bans.

How many people have been affected?
One user put together a list of 38 communities, or subreddits, which had been banned since the announcement. They estimate that more than 50 were removed in total.
Of this list, 12 subreddits relate to firearms. For example, the r/gundeals subreddit had 122,311 subscribers as of 27 January 2018, according to the Wayback Machine digital archive.
The cumulative subscribers of only five other banned communities suggest that at least 250,000 people have been affected.

Why have these specific subreddits been targeted?
A Reddit spokesperson clarified that “transactions that are either illicit or strictly controlled” are now prohibited.
While the sale of firearms is not illegal in the United States, it is heavily regulated. A Reddit representative explained that “there are very specific conditions necessary to make their sale legal” and added that the website “is simply not set up to ensure that those legal conditions are being met”.
But this stance has caused consternation with users of the Gun Deals subreddit, who explain that their community was not involved in the sale of guns other than providing links to legal retailers.
And as one Twitter user pointed out, the ban extended to a subreddit dedicated to the exchange of bullet casings, rather than live ammunition.
Didn’t YouTube recently ban videos linked to firearms?
This week YouTube took the decision to ban videos that show people how to manufacture or modify guns and their accessories.
One person, who deleted their account after commenting, accused Reddit of banning all gun-related subreddits “like YouTube is doing with firearm channels right now”.
Reddit has been accused of “agitating the problem” by banning these communities, while another called it a decision based on “advertiser-friendly censorship”.
Out of a list of 38 banned communities, 12 concerned gun-related sales or trades.
What does this mean for Reddit Secret Santa?
Some Redditors have pointed out that the new rules appear to contradict with the site’s annual Secret Santa tradition, as gift-givers are required to exchange personal information in order to send their gift.
Users were quick to point out the inconsistency, with one asking how Reddit will ensure people do not gift banned goods, with another suggesting that “there’s no way to know if alcohol or tobacco products are sent”.
It is unknown what implications the new rules would have for their gift exchange programmes, specifically Secret Santa.

Fortnite Is Now Making More Money Than PUBG on PC and Consoles: Report
Epic Games’ Fortnite may have just launched on iOS this month but it appears to have surpassed battle royale sensation PUBG handily even before that. According to a recent report, Fortnite has made more money than PUBG on PC, PS4, and Xbox One, surpassing PUBG Corp’s game in terms of revenue from February of this year. Since this is from February, information on either game’s performance on mobile is not included. Though it’s unlikely if that would make a difference since PUBG Mobile does not have micro-transactions enabled just yet.
As per gaming intelligence firm SuperData Research in a post titled ‘Fortnite is eating PUBG’s lunch’, Fortnite revenue passed PUBG by $23 million (approximately Rs. 149 crore) with a total of $126 million (roughly Rs. 818 crore). Till then PUBG had earned $103 million (around Rs. 669 crore). This isn’t all. Even in terms of viewership Fortnite has taken the lead. The colourful, cartoony shooter hit a total of 14 million unique viewers on Twitch versus the 8.7 million PUBG had in February. In terms of Twitch viewers, Fortnite saw 6.1 million in January versus PUBG’s 8.5 million.

According to SuperData PUBG revenue peaked in December. This was the month it left Steam Early Access on PC and launched on Xbox One. Comparatively, Fortnite’s trajectory steadily continued upwards. No surprise since Fortnite is immensely more accessible and its battle royale mode is free versus the $30 (Rs. 999 in India) price tag PUBG has. While both Fortnite and PUBG feature micro-transactions, the latter has been plagued with cheaters making it tough for its developers to devise new revenue streams and content compared to Fortnite’s steady roll out of events.
Throw in the fact that Fortnite mobile trounces what PUBG Mobile brings to the table in terms of controls and overall polish makes it the game of choice for now. At least in our experience.
Interestingly, SuperData Research draws parallels to the MOBA and CCG (collectible-card games) space in this write-up, likening the events in the battle royale genre to these two heavyweights.

Interactive Entertainment (Infinite Crisis) have died off after arriving late to the party. WASHINGTON/BEIJING (Reuters) – A U.S. Navy destroyer carried out a “freedom of navigation” operation on Friday, coming within 12 nautical miles of an artificial island built by China in the South China Sea, U.S. officials told Reuters.
The operation, which infuriated Beijing, was the latest attempt to counter what Washington sees as China’s efforts to limit freedom of navigation in the strategic waters.
The officials, speaking on condition of anonymity, said the destroyer Mustin traveled close to Mischief Reef in the Spratly Islands and carried out maneuvering operations. China has territorial disputes with its neighbors over the area.
Twelve nautical miles is an internationally recognized territorial limit.
The United States has criticized China’s construction of islands and buildup of military facilities in the area, and is concerned they could be used to restrict free nautical movement.
The latest operation, the first since January, occurred just a day after U.S. President Donald Trump lit a slow-burning fuse by signing a presidential memorandum that will target up to $60 billion in Chinese goods with tariffs, following a 30-day consultation period that starts once a list is published.
When asked about the operation, the U.S. military said its activities are carried out under international law and American forces operate in the region on a daily bases.
“We conduct routine and regular freedom of navigation operations, as we have done in the past and will continue to do in the future,” said Lieutenant Commander Nicole Schwegman, a spokeswoman for U.S. Pacific Fleet.
China’s Defense Ministry said two Chinese naval ships had been sent to identify the U.S. ship and warn it to leave. It described the actions of the American ship as seriously harming China’s sovereignty and security, which threatens regional peace and stability.
Such actions cause forces from both countries to come into close proximity and could easily cause a misjudgment or accident, and create serious political and military provocation for China, the ministry said.
China has always dedicated itself to protecting freedom of navigation and overflight in the South China Sea, but opposes “illegal and provocative” moves in the name of freedom of navigation, it added.

In January, another U.S. Navy destroyer sailed near Scarborough Shoal, a disputed lagoon claimed by China in the South China Sea.

In a separate statement, China’s Foreign Ministry said the country would continue to take all necessary steps to protect its sovereignty and peace and stability in the South China Sea, where it said the situation was developing for the better with the hard work of China and Southeast Asian nations.
The U.S. determination to “manufacture tensions” flies in the face of the wishes of countries in the region to seek cooperation and development and will not enjoy popular support, the foreign ministry said.
The U.S. military has a longstanding position that its operations are carried out throughout the world, including in areas claimed by allies, and they are separate from political considerations.
China’s claims in the South China Sea, through which about $5 trillion in ship-borne trade passes each year, are contested by Brunei, Malaysia, the Philippines, Taiwan and Vietnam.
The U.S. military put countering China and Russia at the center of a new national defense strategy unveiled in January.
China’s navy will carry out combat drills in the South China Sea, the military’s official newspaper said on Friday, calling the move part of regular annual exercises.
Taiwan’s Defense Ministry said on Wednesday it had shadowed a Chinese aircraft carrier group traversing the Taiwan Strait in a southwesterly direction – meaning into the disputed South China Sea – in what Taiwan judged to be a drill.
The United States has been pushing allies to carry out freedom of navigation operations as well.
Britain last month said one of its warships would pass through the South China Sea to assert freedom-of-navigation rights.

British insurer Aviva on Friday abandoned its plan to cancel the high-shares after opposition from investors and scrutiny from the country’s financial watchdog.
Aviva’s change of heart “goes a long way toward addressing our concerns,” M&G Prudential, Invesco, GAM, Edentree, BlackRock and Legal & General said in a statement.
“We would encourage Aviva, and other companies with similar instruments, to take whatever steps necessary to modernise their articles of association in a way that would reflect both the group’s intentions going forward, and the true irredeemable nature of the instruments.”

Archaeologists in Alexandria, Va., have uncovered the remains of two ships that likely date back to the late 1700s or 1800s during construction work on the city’s waterfront.
The city announced the discovery at the construction site in the historic Old Town district earlier this week. The find was made at the site of the former Robinson Terminal South. In 2015 a Revolutionary War-era ship was found nearby during construction work for the Hotel Indigo.
“The discovery of three historic ships in a two-block area is absolutely incredible,” said Eleanor Breen, Alexandria’s acting city archaeologist, in a statement. “There have been very few ships from this era excavated in Virginia or nationwide.”
REVOLUTIONARY WAR-ERA SHIP UNEARTHED AT VIRGINIA CONSTRUCTION SITE
The discovery was made last week by experts from Thunderbird Archaeology working for developers JBG Smith and EYA, the Washington Post reports. The site is being developed into a residential complex.
The city is overseeing an analysis of the site to determine what the next steps should be. “As part of a private construction site, the artifacts are not currently open to public view and are not visible from the street,” it said, in its statement.
The ships are the latest historic vessels to be discovered in the U.S. Earlier this year, for example, it was revealed that the wreckage of the Clotilda, the last slave ship to bring slaves to the U.S., may have been found near Mobile, AL.

In 2015 the remains of a Confederate warship were raised from the Savannah River in Georgia. NEW YORK (LPC) – Uber Technologies’ self-arranged term loan B was increased to US$1.5bn, justifying the taxi app company’s unconventional approach to raising the loan and succeeding despite news that one of the company’s self-driving cars had killed a pedestrian.

The groundbreaking seven-year new-money loan was placed with investors directly through Uber’s capital markets team, rather than through a syndication process led by arranging banks, and also priced tight of guidance.
It is largely a bridge loan designed to fund Uber’s steep cash burn until its planned 2019 IPO, and also required investors to get comfortable with unusual credit metrics, including negative Ebitda.
The Uber car hit and killed Elaine Herzberg in Arizona late on March 18, in what is believed to be the first fatality involving a self-driving vehicle.
News of the accident emerged the following day, and Uber pulled forward the commitment deadline on its loan to March 21 from an original deadline of March 22.
Uber was still able to capitalize on strong investor demand and the deal size was increased by US$250m from US$1.25bn at launch.
After the accident, Uber said it would halt the self-driving program in Arizona, Pittsburgh, San Francisco and Toronto and continue to assist local, state and federal authorities as concern rippled through the auto industry.
Proceeds were earmarked for general corporate purposes – a generic use that includes investment in autonomous vehicle technology, investors said.
“I’m guessing the pullback [in that investment] will be temporary,” one investor said.
Another investor said: “I do not think the death changes anything. Six thousand pedestrians are killed a year. People are thinking, if everything craps out, will someone buy this money-losing operation for more than my loan balance?”
The loan ultimately cleared at 400bp with a 1% Libor floor at 99.5, versus opening guidance of a 425bp-450bp over Libor range with a 1% floor and 99 OID.
LEVERAGELESS
The direct placement strategy was intended to avoid attracting scrutiny from US banking regulators because the loan might breach leveraged lending guidelines. The rules raise concerns about transactions having a debt-to-Ebitda ratio of over six times or deals that are unable to be paid down by half with cashflow over five to seven years.
Uber reported roughly negative US$2bn of Ebitda in 2017, two sources said, leaving potential investors without the traditional debt-to-Ebitda credit ratio that they rely on to conduct analysis.
“It’s just too hard do a ‘real’ analysis on it,” said the second investor.
Unusually, the loan was marketed on a loan-to-value ratio. Uber is touting an equity value of US$75bn, which would provide ample coverage for lenders, although that valuation is only implied.
The current valuation follows the purchase of a 17.5% stake in the company in January by an investor consortium led by Japan’s Softbank that included a tender offer for existing shares at a US$48bn valuation and new equity at a US$68bn valuation.
Including capital expenditure and interest expense, the company burned through roughly US$3bn of cash last year. The loan will boost balance sheet cash to nearly US$6bn.
CLO TRADE
Uber’s leveraged loan market debut in 2016 was criticised by regulators. Morgan Stanley led the US$1.15bn TLB with Barclays, Citigroup and Goldman Sachs. The deal priced at 400bp over Libor with a 1% floor.
Regulated banks could not play a direct role in the new deal as Uber is a “criticised name”, and Uber was reluctant to go outside its relationship bank group to an unregulated lead arranger, which led to the unconventional structure.
Morgan Stanley was the only bank to play an active role in the new deal, but as Uber’s financial advisor rather than a conventional arranger. The bank also stepped down from its administrative agent role to further distance itself from the transaction.
Macquarie is also serving as an intermediary to CLOs seeking to play the deal. As offshore vehicles, CLOs are prohibited from investing in US loans directly because doing so would be construed as origination, which could otherwise subject them to US corporate income taxes.
CLOs must wait for a seasoning period – typically around 48 hours – during which the originator closes and funds the loan, before it is moved into the CLO via assignment. The process avoids any potential tax liabilities.
Macquarie, which is nonregulated and therefore not subject to the leveraged lending guidance, is funding some of the loan that will be assigned to CLO accounts. Cortland Capital Market Services is the administrative agent.
